Minibonds for Italian SMEs: an alternative source of funding

Services and guides

Connect an investment project with an appropriate funding structure

Minibonds are debt instruments used by eligible businesses to raise medium- or long-term funding from professional investors. For an Italian SME, they may complement bank lending when the business, project and financial information are suitable.

Assess feasibility

We examine the investment or acquisition project, profitability, cash generation, existing debt and repayment capacity. The business’s legal form and the applicable issuance and investor requirements must be checked for the transaction.

Prepare the information and structure

A credible business plan, financial statements and an explanation of the project help investors assess the request. Amount, maturity, repayment profile, security, covenants and reporting obligations affect the proposal. Arrangement, legal and other issuance costs need to be considered with interest. A minibond is not automatically cheaper than a loan.

Organise the process

Depending on the issuance, the company works with financial and legal advisers, an arranger, investors and other service providers. We help assess feasibility, prepare financial information and coordinate the agreed financial work. A particular listing or placement structure should be assessed for the specific transaction.
